Terms of Purchase
TWO SIDES OF A DIME INC.
Last updated: October 12, 2026
Thank you for your interest in Two Sides of a Dime Inc. and our educational products and services, including programs offered under Surplus Stack Society. Please read these Terms of Purchase carefully. By purchasing or accessing a Product, you acknowledge that you have had a reasonable opportunity to review these Terms and agree to be bound by them, subject to applicable law.
1. General Purpose and Agreement
These Terms of Purchase (“Terms”) are between you (“Purchaser,” “you,” or “your”) and TWO SIDES OF A DIME INC. (“Company,” “we,” “us,” or “our”). They apply to purchases or access through www.twosidesofadime.com, www.surplusstacksociety.com, related domains, checkout platforms, and other Company sales channels, including in-person purchases. Surplus Stack Society is a product brand of the Company, not a separate contracting entity.
By clicking a purchase or enrolment button, submitting payment, accepting a gift, or accessing a Product, you agree to these Terms and any product-specific terms clearly disclosed before purchase. The Company’s Website Terms of Use and separate Privacy Policy may also apply.
2. Scope of Products
“Products” include, without limitation, digital downloads, templates, online courses, challenges, coaching programs, memberships, masterclasses, live events, workshops, intensives, speaking engagements and related educational services. Specific features, deliverables, durations, eligibility requirements and prices are as described on the relevant sales page and checkout at the time of purchase.
A Product may be offered under Surplus Stack Society or another brand operated by the Company. Where a separate written coaching or service agreement applies, that agreement governs the relevant services to the extent of any conflict, subject to mandatory law.
3. Product Delivery and Access
Upon successful purchase, Products will be delivered or made accessible as stated on the relevant sales page or checkout. Digital access instructions are ordinarily sent to the email address provided at checkout. You are responsible for providing accurate contact information and maintaining compatible devices and internet access.
Some content or services may be released on a schedule or delivered at a later date, as disclosed before purchase. We will use reasonable efforts to meet published delivery dates and will address material delays in accordance with applicable law.
4. Unlimited Access to Digital Materials
Where a Product is advertised as including “unlimited access,” this means access to the applicable self-paced digital course materials and included learning resources for as long as that Product continues to be offered to the public by the Company.
Unlimited access does not mean lifetime access, permanent hosting or a guarantee that the Product will remain available indefinitely.
The Company may reasonably modify, replace, retire or discontinue Products or platforms, subject to applicable law. Where reasonably practicable, we will notify affected purchasers of a planned discontinuation. Sufficient advance notice will be provided to Purchasers before the Product is permanently discontinued.
Unlimited access does not extend to live coaching, group sessions, communities, private messaging, events, accountability support or other time-limited benefits unless the specific Product description expressly says otherwise. Any coaching or community duration stated at purchase remains applicable even if self-paced materials remain accessible.
5. Product and Professional Disclaimer
Products are provided for general educational and informational purposes. Financial education content is not individualized financial, investment, legal, tax, accounting, medical or other regulated professional advice and does not create a professional adviser-client relationship.
You remain responsible for your financial decisions and for seeking appropriately qualified professional advice where needed. Investing involves risk, including possible loss of principal. Examples, projections and illustrations are educational, not promises of outcomes.
6. No Warranties and No Guaranteed Results
To the extent permitted by law, Products are provided on an “as is” and “as available” basis, without guarantees of specific results. Outcomes depend on personal circumstances, implementation, economic conditions and other factors beyond the Company’s control.
Any references to savings percentages, debt payoff, investment milestones, financial independence, testimonials or success stories are examples or aspirations, not guaranteed results. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
7. Payment and Billing
By supplying a payment method, you represent that you are authorized to use it and authorize the Company or its payment processor to charge the fees disclosed at checkout, including applicable taxes. Unless otherwise indicated, prices are in Canadian dollars (CAD). Your financial institution may assess currency conversion or other fees.
The total price, billing frequency and any applicable taxes will be disclosed before purchase. You are responsible for keeping your payment details current.
8. Instalment Payment Plans
Certain Products may offer payment plans. A payment plan divides the total purchase price into scheduled instalments; it is not a subscription, month-to-month membership or pay-as-you-go arrangement. By selecting a payment plan, you agree to the total instalment purchase price and payment schedule displayed at checkout.
The total paid under an instalment plan may exceed the pay-in-full price. Unless an applicable refund policy or mandatory law provides otherwise, stopping participation, failing to complete the Product, or ceasing to use access does not cancel remaining instalments.
If an eligible full refund is issued, future instalments for that refunded purchase will be cancelled. If a payment fails, we may notify you, attempt to collect amounts properly due and, after reasonable notice and opportunity to cure, suspend access as permitted by law. Payment plans do not automatically renew into a new Product term.
9. Subscriptions and Recurring Memberships
Some Products may instead be sold as subscriptions or recurring memberships. Where applicable, the checkout will disclose the recurring amount, billing interval, renewal terms and cancellation method. By subscribing, you authorize recurring charges until the subscription is cancelled in accordance with its disclosed terms and applicable law.
Subscription cancellation stops future renewals but does not necessarily refund charges already incurred, except as stated in the applicable Product policy or required by law. A subscription is distinct from an instalment payment plan under Section 8.
10. Product-Specific Refund and Cancellation Policies
Refunds and cancellations depend on the particular Product. Any money-back guarantee, eligibility condition, deadline, exclusion and refund procedure will be stated on the applicable sales page, checkout or separate agreement before purchase. No single refund guarantee applies automatically to all Company Products.
Where a Product includes personalized coaching, a separate signed coaching agreement may specify additional cancellation and refund terms. For example, certain Surplus Stack Society programs may offer a seven-day guarantee while private coaching may be governed by a different agreement. The specific terms presented for the Product purchased control.
Nothing in these Terms limits statutory cancellation, refund or other consumer rights. If an eligible refund is issued, the Company may revoke access to the refunded Product and associated services.
11. Coaching Services, Scheduling and Participation
Coaching, accountability, group calls, community access and private support are available only for the period and scope specified at purchase or in the applicable coaching agreement. All coaching sessions must be scheduled and used within the designated coaching period for the Product or program purchased. Unused sessions or benefits do not automatically roll over or extend beyond the stated term.
Any coaching sessions remaining unused after that period expires will be forfeited and will not be eligible for a refund, credit, transfer or extension, except where required by applicable law.
Each 1:1 coaching session may be rescheduled once, provided the Purchaser gives at least 24 hours’ notice before the scheduled session and the rescheduled session takes place within the designated coaching period. A cancellation or rescheduling request made with less than 24 hours’ notice will result in the session being forfeited, except in extreme or unforeseen circumstances considered by the Company on a case-by-case basis. Any subsequent cancellation or request to reschedule that same session will result in the session being forfeited. Exceptions may be considered in extreme or unforeseen circumstances on a case-by-case basis, at the Company’s discretion and subject to applicable law. Any approved exception does not establish a precedent for future requests.
We may make reasonable changes to facilitators, schedules or delivery formats while preserving material purchased benefits, subject to applicable law. Participants must treat coaches, staff and other members respectfully.
12. Community Conduct and Confidentiality
In group coaching, communities or live sessions, participants may voluntarily share sensitive personal or financial information. You agree not to disclose another participant’s identifiable information or private disclosures outside the group without permission.
The Company cannot guarantee that every participant will preserve confidentiality. Please exercise discretion when sharing sensitive information. Harassment, threats, unauthorized solicitation, unlawful conduct and serious breaches of confidentiality may lead to proportionate restrictions or termination, subject to applicable law.
13. Gifts and Third-Party Purchases
Where gifting is available, the purchaser may provide the recipient’s email address, an optional message and an immediate or scheduled delivery date. The purchaser is responsible for accurate recipient details. Gift terms, including refund eligibility and the start of any voluntary refund period, are those disclosed for the Product at checkout.
The intended recipient receives a personal, non-transferable licence upon redemption and must comply with applicable access and conduct terms. Where an employer or another third party pays, any reimbursement arrangement is separate from the Company’s Terms, and the participant remains bound by applicable program-use requirements.
14. Promotions and Discounts
Promotions, discounts, limited-time offers and bonuses may be offered periodically and are subject to stated conditions and availability. Unless expressly indicated, promotions cannot be combined, applied retroactively, exchanged for credit or used to reprice a completed purchase. The Company may change future promotions without changing completed transactions.
15. Limited Personal-Use Licence
Upon purchase, the Company grants you a limited, non-exclusive, non-transferable, revocable licence to use the Product for your own personal educational purposes, subject to these Terms. You may download, complete, adapt and print designated worksheets or templates for your own use, retaining applicable ownership notices.
You may not share accounts, redistribute paid content, sell materials, post them publicly, provide access to others, or use them to train others commercially without the Company’s prior written permission. Separate licences may be required for teams or organizations.
16. Intellectual Property and Proprietary Educational Materials
The Company or its licensors retain all rights in Products and associated content, including curricula, course structures, original explanations, videos, worksheets, templates, branded frameworks, recordings, designs and trademarks. No ownership transfers through purchase.
You may not reproduce, substantially copy, teach from, publish, distribute, sell, license or commercially exploit protected Company materials, in whole or substantial part, without prior written authorization. This includes using protected course content to create or deliver competing courses, workshops, coaching programs or educational products.
These restrictions survive termination of access for as long as the relevant rights remain protected by law.Â
17. Testimonials, Reviews and Submissions
By submitting reviews, images, comments, testimonials, social media tags, or other content (“Submissions”) to Two Sides of a Dime Inc. (“Company”) on any platform, including but not limited to social media, online reviews, and the Company's Website, you grant the Company a non-exclusive, royalty-free, worldwide, ongoing commercial licence to reproduce, publish, display, distribute, and use your Submissions for reasonable business, marketing, promotional, and educational purposes without requiring additional permission or compensation.
In connection with your Submissions, the Company may use your name, photograph, social media handle, and other information you have voluntarily made public or included in your Submission when featuring your content on its Website, social media platforms, marketing materials, guides, and other promotional channels.
The Company will respect your privacy and will not disclose confidential personal information, sensitive financial details, private account information, or other information that has not been voluntarily made public without appropriate authorization.
The Company reserves the right to edit Submissions for clarity, grammar, formatting, or length, provided such edits do not materially change the original meaning or misrepresent your experience. Testimonials will not be presented as guaranteed or typical results unless supported by appropriate evidence.
All use of Submissions will be subject to applicable privacy and consumer protection laws.
18. Chargebacks and Payment Disputes
If you believe a charge is incorrect, please contact the Company so we can investigate. We may submit relevant purchase records, these Terms and transaction information to payment processors or financial institutions when responding to disputes.
Nothing in these Terms waives your right to dispute unauthorized or incorrect charges or exercise rights under applicable law. Any recovery of unpaid amounts or related costs must be lawful.
19. Age and Eligibility
By purchasing, you represent that you have the legal capacity and meet the minimum age requirements applicable to entering a binding purchase agreement in your jurisdiction, or have the legally required authorization.
20. Privacy and Protection of Personal Information
We respect your privacy and may collect, use and disclose information reasonably necessary to process purchases, administer accounts, deliver Products, provide customer support and operate the Company.
Our separate Website Privacy Policy explains in greater detail the personal information collected, its uses, disclosures, retention and applicable rights. Please review our Privacy Policy to understand the types of data we collect from you and your devices (“Data”) in connection with your purchase of Products through the Website and how we use your Data.
21. Errors and Product Changes
We strive to provide accurate descriptions, pricing and availability information, but errors may occur. We may correct errors and update future pricing, features, promotions or availability. If a material error affects a completed purchase, we will address it in accordance with applicable law.
We may make reasonable curriculum, resource and platform updates, but will not use this provision to remove material purchased benefits without complying with applicable law.
22. Platform Availability and Termination of Use
Products may rely on third-party platforms. Temporary outages, maintenance or technical disruptions may occur. We will make reasonable efforts to restore material access interruptions.
We may restrict or terminate access for serious misuse, intellectual property violations, material breaches or unresolved payment defaults, with reasonable notice and opportunity to remedy where appropriate. Any termination remains subject to applicable consumer rights.
23. Limitation of Liability
To the fullest extent permitted by law, the Company is not responsible for indirect, incidental, special, consequential, exemplary or punitive damages arising from the purchase or use of Products. To the extent legally permitted, aggregate liability relating to a purchase is limited to the amount paid for that Product.
This provision does not exclude or limit liability, warranties or consumer remedies that cannot legally be excluded or limited, including where applicable for negligence or other non-excludable causes.
24. Dispute Resolution and Governing Law
In the event of a dispute arising from these Terms of Purchase, both parties agree to make reasonable efforts to resolve the matter through good-faith communication before pursuing formal legal proceedings. If the dispute cannot be resolved informally, either party may pursue available legal remedies in accordance with applicable laws. These Terms are governed by the laws of Ontario and applicable federal laws of Canada, subject to mandatory consumer protections in the purchaser’s jurisdiction.
Nothing in these Terms prevents a purchaser from pursuing a mandatory statutory remedy or forum.
25. Notices
We may provide purchase-related notices to the email address supplied at checkout or through the applicable account or Website, subject to law. Notices to the Company may be sent to [email protected] or by mail to TWO SIDES OF A DIME INC., 350 Rutherford Rd S, Plaza II - Unit 104, Brampton, ON L6W 4N6, Canada. Purchasers should keep contact details current.
26. Severability and No Waiver
If a provision is held invalid or unenforceable, the remaining provisions continue to the extent permitted by law. Failure to enforce a provision on one occasion is not a waiver of future enforcement. A waiver must be made in writing by an authorized representative.
27. Transfer and Assignment
You may not transfer your Product licence or contractual rights without prior written consent, except where applicable law provides otherwise. The Company may assign its rights or obligations as legally permitted without diminishing mandatory purchaser rights.
28. Force Majeure
To the extent that any failure or delay in our delivery of the Products under these Terms is caused by or results from acts or circumstances beyond our reasonable control, we will not be liable or responsible to you and the same will not be considered a breach of these Terms. Such acts or circumstances beyond our reasonable control could include, without limitation, acts of God, fire, flood, earthquake, natural disasters, cyber-attacks, terrorism, revolution, insurrection, civil unrest, national emergency, epidemic, pandemic, labour disputes, supply chain restraints or delays in obtaining suitable materials, materials breakdown, telecommunications breakdown, or power outage.
29. Changes to Terms
The Company may update these Terms for future purchases. The version disclosed and accepted when a purchase was made generally governs that transaction, unless the parties lawfully agree otherwise or a change is required by law. Continued access alone will not be treated as consent to a material retroactive change where affirmative consent is required.
30. Entire Agreement and Headings
These Terms, together with applicable product descriptions, checkout disclosures and expressly incorporated product-specific or coaching agreements, form the agreement concerning the relevant purchase. Headings are for convenience and do not affect interpretation. All rights not expressly granted are reserved.
